User Accounts

  • Registration: To use the FIFU platform, users must register by providing accurate information, including full name, email, and any additional information required to complete registration.
  • Account Security: Users are responsible for maintaining the confidentiality of their account credentials. Any activity under your account is your responsibility.
  • Account Termination: FIFU reserves the right to suspend or terminate accounts if users violate these terms or engage in fraudulent activities. We may also terminate accounts that remain inactive for an extended period.

Use of Services

  • Eligibility: You must be at least 18 years old and capable of entering legally binding contracts to use the FIFU platform.
  • Permitted Use: FIFU grants you a limited, non-exclusive, and non-transferable license to access and use the platform for its intended purpose: connecting farmers, suppliers, and restaurants for ingredient sourcing. You may not:
    • Engage in any activity that interferes with or disrupts the services or security of FIFU.
    • Use FIFU to conduct illegal activities, including fraud, spamming, or data harvesting.
    • Post inaccurate, misleading, or inappropriate content.
    • Attempt to reverse-engineer or exploit the platform’s software and systems.

Purchasing and Payment Terms

  • Orders: When placing an order via FIFU, users agree to enter into a legally binding transaction with the supplier or farmer. FIFU acts only as an intermediary.
  • Payment Methods: All payments are processed securely through third-party payment processors. FIFU does not store credit card or payment details.
  • Payment Obligations: Users agree to pay all fees associated with their orders, including taxes, shipping fees, or additional service charges, where applicable.
  • Order Cancellation: Cancellations must be made before the order is processed by the supplier or farmer. Once processing begins, cancellations may not be accepted, and refunds are subject to the supplier’s policy.

Delivery and Risk of Loss

  • Delivery Timeframes: FIFU facilitates communication and transaction between users but does not guarantee delivery times. Farmers and suppliers are responsible for providing accurate delivery estimates.
  • Risk of Loss: Once a transaction is completed, the risk of loss or damage to products passes to the purchasing user (e.g., restaurant). FIFU is not liable for damaged or lost goods during transit.

Refunds and Returns

  • Refund Policy: Refunds are subject to the return policies of the supplier or farmer from whom the order was placed. FIFU does not guarantee refunds or returns unless agreed upon by both the buyer and seller.
  • Return Process: Users should contact suppliers directly regarding any issues with their orders. FIFU may assist in facilitating communication but is not responsible for return processes.

Intellectual Property Rights

  • Platform Ownership: All content and intellectual property on the FIFU platform, including design, software, text, images, and trademarks, are owned or licensed by FIFU. Users may not use, reproduce, distribute, or modify any part of the platform without FIFU’s written consent.
  • User Content: Users retain ownership of the content they post (e.g., product descriptions, reviews). By posting content, users grant FIFU a non-exclusive, royalty-free license to use, display, and distribute their content on the platform.

Limitation of Liability

  • No Warranties: FIFU provides the platform “as is” and “as available.” FIFU makes no warranties regarding the quality, safety, or legality of products or services listed on the platform.
  • Limited Liability: To the maximum extent permitted by law, FIFU and its affiliates are not liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of profits, data loss, or business interruptions, arising from the use of the FIFU platform or services.

Indemnification

You agree to indemnify and hold FIFU, its officers, directors, employees, and affiliates harmless from any claims, damages, or expenses, including legal fees, arising out of your use of the platform, violation of these terms, or infringement of any third-party rights.

Dispute Resolution

  • Governing Law: These Terms and Conditions are governed by the laws of United Kingdom.
  • Dispute Resolution: In the event of any disputes, users agree to first attempt to resolve the issue informally by contacting FIFU. If the dispute cannot be resolved informally, it will be subject to arbitration in United Kingdom.

Termination of Service

FIFU reserves the right to terminate or suspend your access to the platform without prior notice or liability, for any reason whatsoever, including breach of these Terms and Conditions. Upon termination, your right to use the services will immediately cease.

FIFU reserves the right to update or modify these Terms and Conditions at any time. Any changes will be posted on the platform, and your continued use of the platform after such changes signifies your acceptance of the updated terms.
